Please carefully review the New Constitution, which includes some provisions which differ from the existing constitution, some of which include:

1     Virtual meetings
Rule 8.12 on the use of technology at general meetings has been added to allow for member participation wholly virtually, or at a combination of virtual and physical venues.

2     Membership flexibility
Amendments have been made to the Constitution at rule 5, which allow the Member Class and annual Membership Fees of the Company to be adjusted by the Board from time to time.

3     Member voting rights
Rule 5.5 of the New Constitution ensures that any changes made to Member Voting Rights are to be approved by a special resolution of Company members, and such changes are to be effective from the start of each financial year.

4     Other amendments
There are also more minor differences in the New Constitution some of which include:
a)    adoption of gender neutral language;
b)    adoption of circular resolutions at Board level; and
c)    amendment of Application requirements to reflect the online membership applications utilised by the Company.
